LLC Minimum Share Value and Partner Limits?

An LLC is capped at fifty partners, and each share is at least one hundred dinars and indivisible (arts. 92 and 98).

An LLC may have no more than fifty partners, and each is liable for the company's obligations only up to the value of his share in the capital (art. 92). The company's name must be followed by the words "limited liability" or the term "W.L.L." (art. 92).

The capital is divided into equal shares, each worth no less than one hundred dinars, and a share is indivisible (art. 98). If a single share has multiple owners, they must choose one person to represent them before the company (art. 98).

The company is only formed once all cash shares are distributed among the partners and paid in full, and in-kind shares are delivered to the company; cash shares must be deposited in a local bank and released only to the appointed managers after they present a certificate of commercial-register entry (art. 97). The capital must be sufficient for the company's purposes and in Kuwaiti currency, with the executive regulations setting the minimum capital (art. 95).
